Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your use of the Calc+ Vault iOS application and related services (collectively, the "Service") provided by Cloud Strategy, Inc. ("we," "us," or "our").

By downloading, installing, or using Calc+ Vault, you agree to these Terms. If you do not agree, do not use the Service.

2. Description of Service

Calc+ Vault is a privacy-focused iOS application that provides:

• An encrypted local vault for photos, videos, notes, documents, and contacts
• A calculator interface for accessing the vault via a personal PIN or biometrics
• End-to-end encrypted private messaging between registered users (Pro & Ultimate)
• Private VoIP calls between vault users (Pro & Ultimate)
• PSTN calls and SMS to external phone numbers via Twilio (Ultimate)
• Encrypted iCloud backup and sync (Pro & Ultimate)
• A private browser with no history stored outside the vault

Features vary by subscription tier. We reserve the right to modify, suspend, or discontinue any feature at any time with reasonable notice.

3. Eligibility

You must be at least 17 years of age to use Calc+ Vault. By using the Service, you represent and warrant that you meet this age requirement.

The Service is available in jurisdictions where it is legally permitted. You are responsible for compliance with local laws and regulations applicable to your use of the Service.

4. Accounts & Registration

Vault PIN

Access to your local vault is protected by a PIN you set on first launch. You are solely responsible for maintaining the confidentiality of your PIN. We cannot recover your PIN or your vault contents if your PIN is lost — there is no password reset mechanism by design.

Phone Number Registration (Messaging & Calls)

To use private messaging and calling features, you must register a valid phone number via Firebase Authentication. By providing your phone number, you consent to receiving a one-time SMS verification code.

You must provide accurate information and keep it up to date. You may not register a phone number that you do not own or have permission to use.

Account Security

You are responsible for all activity that occurs under your account. Notify us immediately at support@cloudstrategy.ai if you suspect unauthorized access to your account.

5. Subscriptions & Billing

Subscription Tiers

Calc+ Vault offers the following tiers:

• Free — limited vault storage, core vault and calculator features
• Pro — unlimited vault, iCloud sync, encrypted messaging, VoIP calls
• Ultimate — everything in Pro, plus PSTN calls and SMS to external numbers

Billing

Paid subscriptions are processed through Apple's App Store. Your payment method on file with Apple will be charged at the start of each billing period. Prices are displayed in the app prior to purchase.

Auto-Renewal

Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period. You can manage or cancel your subscription at any time through your Apple ID account settings or via Settings → Subscription → Manage in the app.

Refunds

All purchases are subject to Apple's refund policy. We do not process refunds directly. To request a refund, contact Apple Support at reportaproblem.apple.com.

Free Tier Limits

Free tier users are subject to storage limits as displayed in the app. We reserve the right to adjust free tier limits with reasonable notice.

6. Acceptable Use

You agree not to use the Service to:

• Store, transmit, or distribute any content that is illegal under applicable law
• Harass, threaten, or harm any other person
• Violate the privacy or intellectual property rights of others
• Attempt to reverse engineer, decompile, or disassemble the app
• Circumvent, disable, or interfere with security features of the Service
• Use the Service to facilitate spam, phishing, or other fraudulent activity
• Resell, sublicense, or commercially exploit any part of the Service without our written consent
• Use the messaging or calling features to transmit unsolicited commercial messages

We reserve the right to suspend or terminate accounts that violate these terms.

7. Intellectual Property

The Calc+ Vault app, including its design, code, graphics, and branding, is owned by Cloud Strategy, Inc. and protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the app for personal, non-commercial purposes in accordance with these Terms.

Your vault content — photos, videos, notes, documents, and messages — remains your property. We do not claim any ownership over content you store in the vault.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it carefully to understand our data practices.

By using the Service, you consent to the collection and use of information as described in our Privacy Policy.

9. Disclaimers

We do not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free
• Any data stored in the vault will never be lost due to device failure, software bugs, or unforeseen circumstances
• The calculator interface will be available or function identically across all iOS versions or jurisdictions
• Third-party services (Firebase, Twilio, Apple) will remain available or unaffected by outages

You are solely responsible for maintaining independent backups of any critical data stored in the vault. We strongly recommend using the built-in backup feature regularly.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Cloud Strategy, Inc. and its officers, directors, employees, and agents shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of data, profits, goodwill, or other intangible losses
• Damages arising from unauthorized access to your vault or account
• Damages resulting from your failure to keep your PIN confidential
• Any content you store, transmit, or receive through the Service

In no event shall our total liability to you exceed the greater of (a) the amount you paid for the Service in the twelve months preceding the claim, or (b) $100 USD.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so the above limitations may not apply to you.

11. Termination

You may stop using the Service at any time by cancelling your subscription and uninstalling the app.

We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms or applicable law.

Upon termination:

• Your right to use the Service ends immediately
• Vault content stored locally on your device remains until you delete it or uninstall the app
• Server-side data (Firebase account, encrypted messages) may be deleted after a reasonable retention period
• No refunds will be issued for unused subscription time unless required by applicable law

12. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to its conflict of law principles.

Any dispute arising from these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in California. You consent to the personal jurisdiction of such courts.

If you are a consumer in the European Union or another jurisdiction that provides mandatory consumer protections, those protections apply in addition to these Terms.

13. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. Significant changes will be communicated via an in-app notice.

Your continued use of the Service after updated Terms take effect constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.
